Avianca Advances Plan to Manage Outstanding Liabilities

BOGOTA, Colombia, July 22, 2019 /PRNewswire/ — Avianca Holdings S.A. (NYSE: AVH) today announced that, in connection with its previously announced re-profiling plan for its capital structure, the company has temporarily deferred payments on certain long-term leases and on payment of principal on certain loan obligations.  Avianca Holdings has engaged in discussions with its main strategic lenders and other creditors to establish terms that will preserve current liquidity levels and enable Avianca Holdings to advance its re-profiling plan, which is aimed at strengthening the company’s financial position. Over the last two weeks, members of Avianca Holdings’ senior management team have met with more than 50 of Avianca Holdings’ strategic lenders and other creditors with the objective of reaching an agreement on the terms and conditions of the proposed deferrals. Importantly, obligations related to Avianca Holdings’ day-to-day operations remain current, and such operations, including flight schedules and other ordinary course operations, will remain unaffected.

Avianca Holdings affirms that it is current on all existing interest obligations and that Avianca Holdings actively seeks to arrive at a mutually satisfactory agreement with its strategic lenders and other creditors for a short-term deferral of principal amortization payments, as well as extensions of its credit facilities. Avianca Holdings intends to resume scheduled principal payments once these agreements have been successfully reached, as Avianca Holdings’ proposal is for all creditors to be paid in full, including principal and interest.

In connection with its re-profiling program, Avianca Holdings today made a separate announcement regarding an exchange offer for its outstanding 8.375% Senior Notes due 2020. Avianca Holdings is current on its interest obligations with respect to its outstanding senior notes and is not otherwise in default on its outstanding 2020 Senior Notes.

Avianca Holdings has the full support in this decision of its Board of Directors.  Since May 24, 2019, Kingsland Holdings, through its ownership of ordinary shares of Avianca Holdings and authority to vote the ordinary shares of Avianca Holdings owned by BRW Aviation LLC, has effective control of Avianca Holdings.  As previously announced, United Airlines and Kingsland Holdings have indicated that they would be willing to offer new financing to Avianca, if required and requested, of up to $250 million, provided that certain commitments are assumed by other interested parties.

With the announced temporary suspension of principal payments, as well as the previously announced proposed financing by United Airlines and Kingsland Holdings, and the continued implementation of Avianca Holdings’ 2021 transformation plan, Avianca Holdings expects to strengthen its cash balances in the near future, at which time, Avianca Holdings will resume normal payment of its obligations.  Furthermore, Avianca Holdings has stated that the outstanding 2019 Colombian Peso-denominated corporate bond issued by Aerovías del Continente Americano – Avianca S.A. is not part of the deferral program and that such bond will be paid in accordance with its terms.

Brookfield, GIC to Buy Railroad Owner Genesee & Wyoming

July 1 (Reuters) – Canada’s Brookfield Asset Management Inc and Singaporean sovereign wealth fund GIC on Monday agreed to buy U.S. freight railroad owner Genesee & Wyoming Inc for about $6.4 billion in cash.

Brookfield and GIC’s offer of $112 per share represents a premium of 12 percent to Genesee’s closing price on Friday. Genesee shares were up about 8 percent in trading before the bell.

Including debt, the deal is valued at about 8.4 billion, the companies said in a statement.

Genesee & Wyoming’s revenue have increased at a compound annual growth rate of 16.8% since it floated in the stock market in 1996, rising to $2.3 billion in 2018 from $77.8 million, according to Genesee & Wyoming’s latest annual report.

The company owns a portfolio of 120 short-line railroads, predominantly in North America, with operations in Europe and Australia.

Reuters had reported on the deal on Sunday, citing sources.

The deal, which is expected to close by year end or early 2020, would be the latest big leveraged buyout by Brookfield, which agreed last year to buy Johnson Controls International Plc’s power solutions business for about $13 billion.

Citigroup Global Markets Inc served as the financial adviser to Brookfield and GIC, while BofA Merrill Lynch and Morgan Stanley & Co LLC advised Genesee.

Bombardier Delivers Final B-series Trains to Perth, Australia

  • Bombardier has supplied and maintained 78 B-series Electric Multiple Units over the last 15 years for Western Australia’s Public Transport Authority (PTA) in a joint venture with Downer EDI

Mobility solution provider Bombardier Transportation announced today that its Australian joint venture with Downer EDI, known as EDI Rail Bombardier Transportation Pty Ltd, is celebrating the final delivery of the B-Series Electric Multiple Unit trains for Western Australia’s Public Transport Authority (PTA). This occasion, which relates to the contract signed in 2016 for 30 additional railcars, was commemorated with an acceptance ceremony for the final train at the Nowergup Rail Depot which was attended by Rita Saffioti, Minister of Transport, Planning and Lands, Western Australia and Elwyn Gearon, General Manager, Transperth Train Operations.

The 15-year journey for Perth’s B-series train sets included the design, assembly and maintenance by the Bombardier Joint Venture (JV) in Australia. The trains have been manufactured at Downer’s facility in Maryborough, Queensland, with electrical pre-assembly work undertaken by Bombardier at its Australian manufacturing facility in Dandenong, Victoria. With an initial order of 31 three car trainsets, the first train entered service in 2004 and the final delivery will now see a total of 78 EMU trains in service. The Bombardier JV will also continue to provide Fleet Maintenance services to PTA for Transperth’s A- and B- series train fleets until 2026 and employ over 130 people across three sites including Nowergup, which manages the maintenance of the entire B-Series fleet.

The B- series EMU platform has been locally designed by Bombardier in Australia. This latest delivery adds to the more than 1,200-strong EMU vehicle fleet of various designs already operating at high reliability and availability delivered across Queensland, Victoria, South Australia and Western Australia by Bombardier over the past 40 years.

Avianca Brasil to Sell Some Assets to Azul

SAO PAULO, March 11 (Reuters) – Brazilian airline Azul SA said on Monday it intends to pay $105 million for certain assets held by Avianca Brasil, which was headed to court to face aircraft lessors as it seeks to keep operating planes despite mounting late payments.

Azul said the non-binding purchase agreement would involve 70 pairs of slots, which grant airlines the rights to operate regular flights between airports.

Azul already operates two Airbus A320 planes that were previously used by Avianca Brasil until they were repossessed in December due to outstanding payments. Under the agreement announced on Monday, Azul said it could end up operating up to 30 Airbus planes currently in use by its rival.

Azul did not disclose how it would be able to take over the leases and the airline did not immediately respond to a request for comment.

Avianca Brasil filed for bankruptcy protection in December in an attempt to stall aircraft lessors who had sued to repossess its fleet, two months after the carrier started missing payments on many of its aircraft.

The Avianca Brasil hearing scheduled for Monday in an appeals court will deal with a request from aircraft lessors, including Aircastle, that planes be repossessed as soon as possible, after a bankruptcy judge extended the airline’s control over the aircraft until at least April.

Since filing for bankruptcy, Avianca Brasil has secured a $75 million loan from hedge fund Elliot Management.

Avianca Brasil Looking for Additional Capital

SAO PAULO, Jan 22 (Reuters) – Avianca Brasil, which filed for bankruptcy protection in December, is looking for a cash injection and has hired Brazilian consulting firm Galeazzi & Associados to help in talks with investors and creditors, the airline said.

Galeazzi’s executives are already visiting the carrier’s creditors to discuss options, a source said, asking for anonymity to disclose private talks. Reuters first reported the news of the Galeazzi hire, citing sources.

Avianca shareholders are discussing a potential cash injection with different investors, including hedge fund Elliott Management Corp, two sources said. Any investment now would need to happen within the bankruptcy protection process, likely in the form of debtor-in-possession financing.

Elliott and Galeazzi did not immediately reply to requests for comment.

Any capital injection or loan would need authorization from the bankruptcy judge.

Avianca is battling two of its main aircraft lessors, Aircastle Ltd and General Electric Co’s unit GE Capital Aviation Services, who have tried so far unsuccessfully to ground or repossess 40 percent of its fleet.

Avianca also said in the statement it continues to operate normally.

The escalating legal battle has added to the uncertainty surrounding Avianca Brasil’s ability to maintain its current flight schedule.

Apollo Eyeing Deal for GE’s Jet Leasing Unit

(Reuters) – Private equity firm Apollo Global Management LLC is working on an offer to acquire General Electric Co’s aircraft leasing operations, which are worth as much as $40 billion, people familiar with the matter said on Friday.

Apollo’s bid comes as GE’s new chief executive officer, Larry Culp, is battling to restore profits and slash debt after the industrial conglomerate lost $22.8 billion in the third quarter, mostly from its ailing power unit.

GE is already pressing on with divesting several assets, including spinning off its healthcare unit and shedding its stake in oilfield services company Baker Hughes. Apollo’s offer could put pressure on GE to also sell the aircraft unit, known as GE Capital Aviation Services (GECAS).

Apollo is looking at financing its bid partly through debt and equity provided by Athene Holding Ltd, the annuity provider for which it provides asset management services, the sources said. Apollo’s private equity funds, co-investment from Apollo’s investors, and debt financing from banks will also help fund the deal, the sources added.

In addition, Apollo is open to exploring a transaction for GE’s long-term-care insurance business, whose liabilities have emerged as a significant burden, according to the sources.

GE has not yet agreed to a deal with Apollo, the sources said. The company could decide to explore a deal with other buyers or not sell GECAS at all, the sources added, asking not to be identified because the matter is confidential.

Apollo and GE declined to comment. Bloomberg News first reported on Apollo’s offer.

GECAS has a fleet of more than 1,900 planes, which it provides to airlines under long-term leases. Consolidation in the sector has intensified in the last few years, as Asian competitors chip away at the market shares of GECAS and its rival AerCap Holdings NV.

GECAS is a unit of GE Capital, which GE has been trimming since the 2008 financial crisis. In 2015, it clinched a deal to sell most of GE Capital’s real estate assets to Blackstone Group LP and Wells Fargo & Co for $23 billion.

Apollo has done several deals with GE. In October, Apollo agreed to buy a portfolio of $1 billion in energy investments from GE Capital. In 2015, Mubadala GE Capital, a joint venture between Abu Dhabi state fund Mubadala and GE Capital, agreed to sell a $3.6 billion portfolio of corporate and real estate loans in the United States and Europe to Apollo.

VietJet Signs $6.5 bln Deal For 50 Airbus Jets

HANOI, Nov 2 (Reuters) – VietJet Aviation signed a $6.5 billion agreement on Friday to buy 50 Airbus A321neo jets, the Vietnamese budget carrier said.

The agreement, signed during a visit to Hanoi by French Prime Minister Edouard Philippe, is part of aggressive investment in the Vietnamese airline’s fleet, which has provided lucrative business for both European aerospace group Airbus and its U.S. rival Boeing.

VietJet said the order is in line with its growth strategies and will enhance the airline’s operational efficiency and capacity, especially on international routes.

In addition to the aircraft, Airbus will deploy pilot and technician training programmes and fight management and flight safety management for VietJet.

In a separate statement, VietJet said it had also signed a memorandum of understanding with CFM International on a $5.3 billion deal for long-term jet engine maintenance.

VietJet, Vietnam’s biggest private airline, currently operates 60 Airbus jets with more than 385 flights daily within Vietnam and to countries such as Japan, Hong Kong, South Korea, Taiwan, Singapore, China, Thailand, Myanmar and Malaysia.

CEO Nguyen Thi Phuong Thao told Reuters this week that VietJet plans to maintain an average fleet age of only three years to minimise fuel and maintenance costs.

It placed provisional orders for the A321neo jets and 100 Boeing 737 MAX jets at the Farnborough air show and has been in negotiations to complete the deals, with deliveries expected between 2020 and 2025.

Hyatt Hotel’s Q3 Earnings Surpass, Revenues Miss Estimates

Hyatt Hotels Corporation (H) posted mixed third-quarter 2018 results, wherein earnings surpassed the Zacks Consensus Estimate while revenues lagged the same. With this, the bottom line exceeded the consensus mark for 11 straight quarters, while the top line lagged the same for the third consecutive quarter.

Adjusted earnings of 33 cents per share outpaced the consensus estimate of 25 cents by 32%. The bottom line also grew 37.5% on a year-over-year basis. Total revenues of $1,074 million inched up 0.5% from the prior-year quarter figure but missed the consensus estimate of $1,092 million.
