Singapore Airlines Raises S$2 Billion from Sale-and-Lease Back Transactions

Singapore Airlines (SIA) has completed sale-and-leaseback transactions for 11 aircraft, comprising seven Airbus A350-900s and four Boeing 787-10s, raising approximately S$2.0 billion in total.

SIA has successfully raised approximately S$15.4 billion in fresh liquidity since 1 April 2020, including these sale-and-leaseback transactions. The amount also includes S$8.8 billion from SIA’s successful rights issue, S$2.1 billion from secured financing, S$2.0 billion via the issuance of convertible bonds and notes, as well as more than S$500 million through new committed lines of credit and a short-term unsecured loan.

SIA continues to have access to more than S$2.1 billion in committed credit lines, along with the option to raise up to S$6.2 billion in additional mandatory convertible bonds before the Annual General Meeting in July 2021.

During this period of high uncertainty, as the airline industry continues to navigate the unprecedented challenges caused by the Covid-19 pandemic, the SIA Group will continue to explore additional means to raise liquidity as necessary.

Embraer Delivers Nine Commercial and 13 Executive Jets in First Quarter of 2021

São José dos Campos – Brazil, April 27, 2021 – Embraer (NYSE: ERJ) delivered a total of 22 jets in the first quarter of 2021, of which nine were commercial aircraft and 13 were executive jets (10 light and three large). As of March 31st, the firm order backlog totaled USD 14.2 billion.

During 1Q21, KLM Cityhopper, the regional subsidiary of KLM Royal Dutch Airlines, received its first E195-E2 jet. This first E2 delivery to KLM, and lessor ICBC Aviation Leasing, elevated the total number of Embraer jets in the KLM Cityhopper fleet to 50 aircraft.

In the same period, Air Peace, Nigeria and West Africa’s largest airline, took delivery of its first E195-E2 aircraft. Air Peace is the launch customer in Africa for the E2. The airline is also the global launch customer for Embraer’s innovative premium staggered seating design.

Also, during the first quarter, Embraer delivered the first conversion of a Legacy 450 to a Praetor 500 jet for AirSprint Private Aviation. The Canadian fractional ownership company has another Legacy 450 scheduled to convert to a Praetor 500 this year, in addition to the delivery of a brand-new Praetor 500, also expected in 2021. With these additions, AirSprint will have three Praetor 500s in its fleet, and a total of nine Embraer aircraft.

Lufthansa Supervisory Board Nominates Britta Seeger, Extends Detlef Kayser

Stephan Sturm will resign from the Supervisory Board of Deutsche Lufthansa AG (XETRA: LHA.DE), which will go into effect after the Annual General Meeting on May 4, 2021. The Chairman of the Executive Board of Fresenius has been a member of the Lufthansa Supervisory Board since April 2015 and has chaired the Audit Committee since January 2018.

The Supervisory Board Nomination Committee has proposed that Britta Seeger fill the vacancy. The 51-year-old business economist has been a member of the Board of Management of Daimler AG (XETRA: DAI.DE) since 2017 and is responsible for Mercedes-Benz Cars Sales. The Bonn-born manager will be nominated for election at the Annual General Meeting on May 4.

The responsibility as Chairman of the Audit Committee, which is currently held by Stephan Sturm, will be transferred to Harald Krüger at the Annual General Meeting, according to the will of the Supervisory Board.

At a meeting today, the Supervisory Board also decided to extend Detlef Kayser’s (55) contract ahead of schedule for three more years until December 31, 2024.

Dr. Detlef Kayser has been a member of the Executive Board of Deutsche Lufthansa AG since January 1, 2019. As “Chief Operations Officer” he is responsible for the operational processes and fleet and infrastructure management of the Lufthansa Group along with the Group-wide “ReNew” restructuring program.

Embraer Delivers 71 Jets in 4Q20 and 130 Total in 2020

Embraer (NYSE: ERJ) delivered 71 jets in the fourth quarter of 2020, of which 28 were commercial aircraft and 43 were executive jets (23 light and 20 large), which represents a decrease of 10 aircraft in the quarter in comparison with 4Q19.The Company delivered a total of 130 jets in 2020, comprised of 44 commercial aircraft and 86 executive jets (56 light and 30 large), which represents a decrease of almost 35% compared to 2019, when 198 jets were delivered.

Although deliveries accelerated during the fourth quarter of 2020 relative to the three previous quarters, they were heavily impacted, mostly in commercial aviation, due to COVID-19 pandemic. As of December 31, the firm order backlog totaled USD 14.4 billion.

During 4Q20, Embraer Executive Jets delivered the first of the Praetor 600 fleet to Flexjet, the Praetor fleet launch customer. The business unit also announced a collaboration with Porsche to create Duet, a limited-edition Embraer Phenom 300E aircraft and Porsche 911 TurboS car pairing.

In commercial aviation, the Belarusian national air carrier Belavia took delivery of its first E195-E2 jet. Congo Airways placed a firm order for two E195-E2 jets, in addition to their existing two aircraft order for the smaller E190-E2. This new firm order was included in Embraer’s 2020 fourth quarter backlog.

Embraer Defense & Security delivered the fourth C-390 Millennium multi-mission medium airlifter to the Brazilian Air Force (FAB) in the fourth quarter. All 28 units of the aircraft ordered by FAB are equipped to perform aerial refueling missions, with the designation KC-390 Millennium. Embraer also delivered the first two modernized EMB 145 AEW&C (Airborne Early Warning and Control) aircraft, designated E-99, to FAB. Three additional E-99 aircraft will be modernized as part of the contract.

Embraer announced the completion and delivery of the first European conversion of a Legacy 450 to a Praetor 500 for an undisclosed customer. The conversion was performed at the Embraer Executive Jets Service Center at Le Bourget International Airport, in Paris, France.

Boeing 747-8 Lives On With Atlas Air Worldwide Purchases of Four Freighters

Boeing [NYSE: BA] and Atlas Air Worldwide announced an agreement to purchase four 747-8 Freighters. The order enables Atlas Air to leverage the operational advantages of the 747-8 Freighter to meet growing cargo demand around the globe.

“The 747-8F is the best and most versatile widebody freighter in the market, and we are excited to bolster our fleet with the acquisition of these four aircraft,” said John W. Dietrich, Atlas Air Worldwide President and Chief Executive Officer. “This significant growth opportunity will enable us to capitalize on strong demand and deliver value for our existing and prospective customers. The efficiency and capability of the 747-8F further complements our longstanding focus on leading edge technology. Dedicated freighters – like those operated by our Atlas, Polar and Southern subsidiaries – will continue to be in demand as the global airfreight market, particularly the e-commerce and express sectors, continues to grow.”

With a maximum payload capacity of 137.7 metric tonnes (137,750 kg), the 747-8 Freighter allows customers to access 20% more payload capacity while using 16% less fuel compared to previous-generation 747s. The jet also features 30% quieter engines. The 747-8 airplanes in this agreement will be the final four aircraft to roll off the production line in Everett, Washington.

Atlas Air has 53 747s in its current fleet, making it the largest 747 operator in the world. Its world-class fleet also includes 737s, 767s and 777s. The 747 and 777 models, in particular, are capable of carrying tall and outsized cargo loads on 3-meter-high (10-foot-tall) pallets. This common main-deck pallet height supports interchangeable pallets, adding to the versatility of both models.

Boeing, the market leader in air cargo aircraft, provides more than 90% of the dedicated freighter capacity around the world, including new production and converted freighters. The 747 program has produced 1,560 aircraft since launching the jumbo jet more than 50 years ago. In July 2020, Boeing announced its decision to complete production of the 747-8 in 2022.

Lockheed Martin Inks $4.4B Deal to Acquire Aerojet Rocketdyne

Dec 20 (Reuters) – Lockheed Martin Corp (NYSE: LMT) said on Sunday that it has agreed acquire U.S. rocket engine manufacturer Aerojet Rocketdyne Holdings Inc (NYSE: AJRD) for $4.4 billion, including debt and net cash.

The deal is Lockheed’s biggest acquisition since Jim Taiclet took over as chief executive in June. He is seeking to beef up the company’s propulsion capabilities amid competition from new entrants such as SpaceX and Blue Origin, for space contracts with the U.S. government.

“Acquiring Aerojet Rocketdyne will preserve and strengthen an essential component of the domestic defense industrial base and reduce costs for our customers and the American taxpayer,” Taiclet said in a statement.

Lockheed said it will pay $56 per share for Aerojet Rocketdyne, a 33 percent premium to Friday’s closing price. The purchase price will be reduced to $51 per share after the payment of a pre-closing special dividend, Lockheed added.

The Bethesda, Maryland-based company already uses Aerojet Rocketdyne’s propulsion systems in its aeronautics, missiles and fire control offerings.

Lockheed said the transaction, which is set to be scrutinized by regulators given the company’s leading position in the defense sector, is expected to close in the second half of 2021.

Union Pacific Names Craig Richardson Executive Vice President, Chief Legal Officer, and Corporate Secretary

Union Pacific today named Craig Richardson executive vice president, chief legal officer and corporate secretary. Richardson is responsible for overseeing all aspects of the company’s legal affairs, including commercial transactions and litigation, regulatory matters, labor and employment. Richardson also supervises the railroad’s compliance and ethics program, and risk management initiatives, including Union Pacific’s police department. He succeeds Rhonda Ferguson, who served as executive vice president, chief legal officer and corporate secretary.

Richardson most recently served as vice president of commercial and regulatory law. He’s also held the position of associate general counsel.

“Craig has provided critical leadership, guiding us through sensitive and complex legal matters with insight, sound judgment and clarity,” said Chairman, President and CEO Lance Fritz. “He is a superior partner and counselor and has the expertise we need during this time of unprecedented change within our nation and company.”

Richardson’s experience spans commercial and regulatory litigation, including oil and gas, environmental, and antitrust law, as well as all aspects of multi-jurisdictional permitting of global energy infrastructure. For nearly a decade, he served as the Chief Legal Officer of El Paso Corporation’s Pipeline Group, the largest network of interstate natural gas pipelines in North America, delivering over 30% of the natural gas consumed in the United States. He was responsible for all legal matters nationwide, waging successful litigation in executing El Paso’s $8 billion portfolio of crucial additions to national energy infrastructure from California to New York.

Mesa Air Group Enters New Contract with American Airlines

Mesa Air Group, Inc. (NASDAQ: MESA) announced that it has finalized a new contract, which replaces the previous agreement with American Airlines, to operate 40 CRJ-900’s for a five-year term beginning January 1, 2021 through December 31, 2025. Under the previous contract 30 CRJ-900 aircraft were set to expire in 2021 with an additional 17 expiring in 2022.

“I want to express my appreciation to the American Eagle team leaders who worked with us on this new contract,” said Jonathan Ornstein, Chairman and Chief Executive Officer of Mesa Air Group. “This new contract will help to position Mesa for long term stability and improved performance on our American operation. This year has been difficult for our entire industry due to the Covid-19 pandemic, but I’m thankful that despite the obstacles, American has chosen to continue its long-standing relationship with Mesa.”

Mesa Air Completes Second Closing On Secured Loan Facility

Mesa Air Group, Inc. (NASDAQ: MESA) today announced that it has completed a second closing through its previously disclosed five-year Loan and Guarantee Agreement under the Coronavirus Air, Relief, and Economic Security Act (CARES Act).

The Loan Agreement provided a secured term loan facility of up to $200 million. On October 30, 2020, Mesa borrowed $43 million under the facility and today, completed a second closing to borrow an additional $152 million. These funds may be used for general corporate purposes and operating expenses, to the extent permitted by the CARES Act.

“I’d like to again express my sincere gratitude to everyone involved in making this deal happen. Our people have been working very hard to ensure Mesa and its employees are prepared to weather this storm”, said Jonathan Ornstein, Chairman and Chief Executive Officer. “These additional funds will substantially benefit our airline and the communities we serve as we continue to navigate the obstacles created by the pandemic”.

In connection with the additional $152 million drawn under the facility, Mesa issued warrants to the U.S. Treasury to purchase 3,819,095 shares of common stock, no par value. The Warrants have a five-year term from the date issued, were issued pursuant to the Warrant Agreement, and have substantially identical terms to the warrants issued on the initial closing.
