Lockheed Martin Inks $4.4B Deal to Acquire Aerojet Rocketdyne

Dec 20 (Reuters) – Lockheed Martin Corp (NYSE: LMT) said on Sunday that it has agreed acquire U.S. rocket engine manufacturer Aerojet Rocketdyne Holdings Inc (NYSE: AJRD) for $4.4 billion, including debt and net cash.

The deal is Lockheed’s biggest acquisition since Jim Taiclet took over as chief executive in June. He is seeking to beef up the company’s propulsion capabilities amid competition from new entrants such as SpaceX and Blue Origin, for space contracts with the U.S. government.

“Acquiring Aerojet Rocketdyne will preserve and strengthen an essential component of the domestic defense industrial base and reduce costs for our customers and the American taxpayer,” Taiclet said in a statement.

Lockheed said it will pay $56 per share for Aerojet Rocketdyne, a 33 percent premium to Friday’s closing price. The purchase price will be reduced to $51 per share after the payment of a pre-closing special dividend, Lockheed added.

The Bethesda, Maryland-based company already uses Aerojet Rocketdyne’s propulsion systems in its aeronautics, missiles and fire control offerings.

Lockheed said the transaction, which is set to be scrutinized by regulators given the company’s leading position in the defense sector, is expected to close in the second half of 2021.

Lockheed Martin to Acquire i3 Hypersonics Portfolio

Lockheed Martin [NYSE: LMT] today announced the signing of a definitive agreement to acquire a portion of Integration Innovation Inc. (i3), a software and systems engineering company based in Huntsville, Alabama. The portfolio alignment between i3 and Lockheed Martin provides the opportunity to design and deliver hypersonic-specific technology solutions that benefit the warfighter.

First Ever Purpose-Built Regional Freighter Takes Flight

The ATR 72-600F will provide cargo operators with advantages of the latest generation market-leading regional turboprop

ATR, the world number one regional aircraft manufacturer, today announces the successful first flight of its new purpose-built regional freighter aircraft. The flight took off at 14:00 from its Saint-Martin site and lasted two hours. During the flight, crew onboard performed a number of tests to measure the new aircraft’s flight envelope and flight performance. The first delivery of this aircraft will be to FedEx Express, the world’s largest cargo airline and express transportation company, who placed a firm order for 30 aircraft, plus 20 options, in November 2017. The arrival of this new freighter further cements ATR’s leadership position in the regional freighter market where ATR cargo aircraft already represent a third of the in-service regional freighter fleet.

The brand new straight-from-factory cargo aircraft will offer a number of unique advantages to operators. With a Large Cargo Door included as part of the original design and the same wide cross section as all ATR aircraft, the freighter will be able to accommodate bulk cargo and industry-standard pallets and containers. The aircraft will also provide operators with the very latest avionics suite, which can be continuously upgraded. This effectively futureproofs the -600F’s state-of-the-art cockpit by allowing cargo airlines to take benefit from future innovations, which will further enhance the aircraft’s efficiency.

Swiss Army Chooses Lockheed Martin’s Indago 3 UAS For Tactical Reconnaissance And Surveillance

Armasuisse contracted Lockheed Martin (LMT) for a fleet of Indago 3 small unmanned aircraft systems (UAS), with options for spares, training and tech support and additional systems for the Swiss Army.

Indago provides aerial reconnaissance in environments unreachable by normal fixed-wing, unmanned aircraft systems.

The first phase comprises manufacturing development to optimize the Indago 3’s configuration to meet Swiss Army requirements. These include:

  • Integration of a transponder for sense and avoid;
  • Installation of the Silvus Technologies’ radio; and
  • Implementation of Lockheed Martin CDL Systems’ VCSi Touch SUAS Ground Control System software that includes access to Swiss maps, including digital terrain elevation data (DTED), and Geofencing.

The first set of optimized systems will be delivered later this year with the remaining systems to be delivered several months following the first delivery. These Indago 3s will support tactical level reconnaissance and surveillance to support information collection, search and rescue, disaster relief and battle damage assessment.

“Indago 3 is uniquely qualified to support the Swiss Army’s mission needs,” said Steve Fortson, UAS Portfolio manager at Lockheed Martin. “Indagos operate very quietly from relatively low altitude and provide high fidelity sensor imagery. They are simple to use and require minimal training so soldiers can quickly execute their mission. The Silvus Technologies radios also deliver best-in-class performance and efficiency in a miniature package. They’re ideal for use in portable and embedded applications where size, weight, power and cost are key.”

Depending on payloads and operating environment, Indago 3 has a flight time of up to 50 minutes, a range of 10 kilometers, a cruise speed of 25 knots and dash at up to 40 knots. It can also operate at temperatures as low as 30-degrees below zero and as high as 120 degrees Fahrenheit. It’s cyber-secure with high fidelity color and infrared 3-axis stabilized sensors – and at approximately 5 lbs., Indago can be easily transported by a single backpack and deployed in less than three minutes.

New Zealand to Buy Five New Super Hercules Aircraft

WELLINGTON, June 5 (Reuters) – New Zealand said on Friday that it will purchase five C-130J-30 Super Hercules transport aircraft from Lockheed Martin to replace its existing fleet.

“Along with the new fleet, the $1.521 billion project will deliver a full mission flight simulator and other supporting infrastructure,” Defence Minister Ron Mark said in a statement.

The first of the new Hercules will be delivered in 2024, with the full fleet operating from 2025, he said.

New Zealand will also start work in 2021 on upgrading its air mobility capability, when options will be considered for replacing the two Boeing 757 aircraft operated by the Royal New Zealand Air Force.

Aerojet Rocketdyne RL10 Engine Marks 500th Flight with AEHF-6 Launch

CAPE CANAVERAL, Fla., March 26, 2020 (GLOBE NEWSWIRE) — The successful March 26 launch of the U.S. Space Force’s sixth and final Advanced Extremely High Frequency (AEHF) military communications satellite aboard a United Launch Alliance (ULA) Atlas V rocket marked the 500th flight of Aerojet Rocketdyne’s RL10 upper-stage engine.

The RL10, which powers the ULA Atlas V Centaur upper stage, is one of several Aerojet Rocketdyne propulsion products supporting the mission. Aerojet Rocketdyne propulsion can be found on both the rocket and the AEHF-6 satellite. Built by Lockheed Martin, the AEHF satellites provide secure, jam-proof communications, including nuclear command and control, to U.S. and allied forces.

“This launch marks an important milestone for Aerojet Rocketdyne and for the country,” said Eileen Drake, Aerojet Rocketdyne’s CEO and president. “The RL10 has supported a majority of the nation’s most important national security and scientific missions, including all of the AEHF satellites which provide communication links that are critical to our warfighters.”

The Atlas V in the 551 configuration is the most powerful vehicle in the Atlas V family, featuring five Aerojet Rocketdyne AJ-60A solid rocket strap-on motors, each generating 348,500 pounds of thrust. Designed specifically to provide extra lifting power to the Atlas V, the AJ-60A is the world’s largest monolithic solid rocket motor ever flown.

The AEHF-6 satellite, meanwhile, is outfitted with three different types of Aerojet Rocketdyne thrusters for attitude control, orbital station keeping and maneuvering. These include 12 MR-103G and six MR-106E monopropellant thrusters; and four, 5-kilowatt-class XR-5 Hall-effect electric thrusters and associated power processing systems.

The Atlas V also uses Aerojet Rocketdyne reaction control thrusters on the Centaur upper stage, as well as pressure vessels provided by ARDÉ, an Aerojet Rocketdyne subsidiary. The rocket launched from Cape Canaveral Air Force Station, Florida, and the AEHF-6 satellite is on its way to its operating location in geostationary orbit.

In addition to the Atlas V, the RL10 also powers the upper stage of ULA’s Delta IV Heavy rocket. The RL10 has helped place hundreds of military, civil and commercial satellites into Earth orbit and has sent spacecraft to explore every planet in our solar system. The RL10’s proven reliability over more than five decades of service has made it the upper-stage engine of choice for three new rockets under development, including ULA’s Vulcan Centaur, Northrop Grumman’s OmegA, and NASA’s Space Launch System.

Some Exhibitors Drop Out of Singapore Airshow Due to Coronavirus

  • Textron, Gulfstream no longer attending
  • Organisers expect reduction in exhibitors, visitors
  • South Korea’s air force reviewing participation

SYDNEY/MONTREAL, Feb 3 (Reuters) – Some aerospace companies including business jet manufacturers Textron Inc and General Dynamics Corp’s Gulfstream division said they no longer planned to attend the Singapore Airshow due to the new coronavirus epidemic.

The trade portion of Asia’s biggest airshow, held every two years, is set to begin on Feb. 11 under the shadow of the fast-spreading virus that has prompted Singapore to deny entry to any non-resident with a recent history of travel to China, where the virus originated.

The death toll from the coronavirus has risen to 361 in China, bringing the number of confirmed infections to 17,205 in the country. The flu-like virus, which can be transmitted from person to person, has spread to more than two dozen other nations and regions.

Experia Events, the organiser of the Singapore Airshow, said last week the show would continue as planned, but the government measures meant it would “undoubtedly see a reduction in terms of the number of expected exhibitors and visitors this year”.

The organiser said there would be doctors and medics on standby to attend to visitors who were feeling unwell.

In 2018, there were 54,000 trade attendees from 147 countries and 1,062 participating companies who come to network, examine products and sign deals covering commercial aviation, defence, maintenance and repair operations and business jets.

Typically, it is not a major show for commercial plane orders but talks during the show can set the stage for deals that are completed later in the year.

Boeing, Airbus and Lockheed Martin Corp , among the biggest exhibitors, said they still planned to attend the show.

Textron and Gulfstream said their decision to not attend was a precautionary measure to protect the health of employees.

Russian aerospace group Rostec plans to send a reduced delegation to the show, Russian media reported. Rostec did not respond immediately to a request for comment.

A spokesman for South Korea’s Air Force said on Monday it was reviewing whether to participate in the Singapore Airshow, but it had not made a final decision.

The deputy administrator of the Civil Aviation Administration of China, Li Jian, is no longer listed as a speaker at a pre-show leadership conference on Feb. 10.

Commercial Aircraft Corp of China (COMAC), which is developing the C919 narrowbody jet, had been due to attend the show before the travel ban was announced.

COMAC did not respond immediately to a request for comment.
