Delta Completes Tender Offer to Purchase Shares in LATAM

  • Delta Air Lines has successfully acquired a 20 percent equity stake in LATAM Airlines Group S.A for approximately $1.9 billion.

Delta Air Lines has successfully completed its previously announced tender offer and has acquired a 20 percent equity stake in LATAM Airlines Group S.A for approximately $1.9 billion, an important milestone toward bringing together the leading airlines in North and South America. This investment continues Delta’s strategy of making equity investments in key airline partners around the globe.

In September, Delta and LATAM announced a strategic partnership, including the now completed 20 percent equity investment and also a commercial joint venture. Once fully implemented, this partnership will unlock growth opportunities for both airlines and offer significantly expanded travel options for customers, with access to 435 destinations worldwide.

Most recently, the carriers announced that they will initially launch codesharing for flights operated by certain LATAM affiliates in Colombia, Ecuador and Peru beginning in the first quarter of 2020. The codeshare will offer customers increased connectivity between up to 74 onward destinations in the United States and up to 51 onward destinations in South America.

The enhanced cooperation and codeshare agreements are subject to governmental and regulatory approvals.

ATR Delivers First Ever Green Financed Aircraft

  • First of five new 72-600 orders by Braathens Regional Airlines

ATR, world number one regional aircraft manufacturer, today delivered the first ever green financed aircraft to Swedish regional airline Braathens Regional Airlines, BRA. The aircraft is leased from Avation and is financed by Deutsche Bank. It is part of a new order for five 72-600s, all purchased by Avation from ATR and leased to BRA. Upon completion of the order in early 2020, the airline will itself operate an entirely ATR fleet, comprised of 15 ATR 72-600 aircraft.

Vigeo Eiris, one of the world’s leading independent agencies providing Environmental, Social and Governance (ESG) ratings, expressed the opinion that the project of replacing ageing regional jets with new ATR 72-600 aircraft is aligned with the Green Loan Principles (GLP) established by the Loan Market Association in 2018.

This first ever Green Financing of an aircraft confirms the high sustainable value of the modern ATR turboprop aircraft. The ATR 72-600 aircraft has a significant environmental advantage over regional jets and other turboprops emitting 40% less CO2. Turboprops are more efficient than jets on short sectors as they accelerate air using less power, so use less fuel.  

BRA CEO, Geir Stormorken, remarked: “We have made a commitment to decrease our environmental impact and the ATR is an essential part of our strategy. With that as a goal, it simply makes sense to choose the most efficient aircraft. By replacing parts of our existing fleet of regional jets with ATR 72-600 aircraft we will emit 7,500 fewer tonnes of CO2 per aircraft, per year. American Airlines and Royal Air Maroc Launch Codeshare Agreement

American Airlines has launched a reciprocal codeshare agreement with Morocco’s largest airline, Royal Air Maroc, to add new options for travel to Morocco starting Dec. 26.

American’s customers will be able to purchase select Royal Air Maroc flights to Casablanca, Morocco (CMN), which will provide seamless connecting service to Marrakech, Morocco (RAK). These flights are available for sale now for travel beginning December 26. The codeshare will expand to additional cities across the African continent in early 2020.

“Royal Air Maroc is a premier African carrier and their hub in Casablanca is perfectly situated to offer our customers convenient connections between North America and over 40 destinations throughout Africa,” said Vasu Raja, American’s Senior Vice President of Network Strategy. “With Royal Air Maroc’s upcoming entry into the oneworld® alliance and our recently announced service between Philadelphia and Casablanca, we are committed to creating more opportunities for our customers to visit unique destinations in Africa.”

Beginning in early 2020, the codeshare agreement will provide American’s customers access to popular destinations in Africa, including:

  • Abidjan, Cote d’Ivoire (ABJ)
  • Accra, Ghana (ACC) 
  • Lagos, Nigeria (LOS) 
  • Luanda, Angola (LAD)
  • Monrovia, Liberia (ROB)

The codeshare will also allow Royal Air Maroc customers to connect to new destinations throughout American’s domestic network beginning Dec. 26. 

American will begin seasonal service to CMN June 4 as the only U.S. carrier with nonstop service to Morocco, which will be operated three times per week. Flights are available for purchase now.

Czech Republic Signs Letter of Offer and Acceptance for Mixed Fleet of AH-1Z and UH-1Y

  • Czech Republic becomes first international customer to purchase mixed fleet of H-1 aircraft

WASHINGTON D.C. (Dec. 13, 2019) – The U.S. Secretary of Defense, Mark Esper, and Czech Republic Minister of Defence, Lubomir Metnar, signed a Letter of Offer and Acceptance finalizing the foreign military sale by Bell Textron Inc., a Textron Inc. (TXT) company, of H-1 helicopters to the Czech Air Force.

“We are privileged to support the Czech people and applaud the Ministry of Defence and Armed Forces of the Czech Republic for selecting AH-1Z and UH-1Y helicopters.” said Vince Tobin, Executive Vice President of Bell’s Military Business.

The H-1 mixed fleet shares 85-percent commonality between parts, reducing the logistics, maintenance, and training costs of the AH-1Z and UY-1Y helicopters while offering a lethal combination of integrated weapons systems to counter ground, air, and maritime targets effectively. The AH-1Z is the only helicopter in production equipped with the AIM-9 Sidewinder providing the most advanced air-to-air combat capabilities.

“This mix allows the Czech Republic to accomplish a diverse mission set, from humanitarian assistance and disaster relief to close air support and air-to-air warfare,” said Joel Best, Director of Military Sales and Strategy, Europe. “The advanced capabilities of the H-1 program help ensure the safety and security of Czech sons and daughters for years to come.” 

The purchase of four AH-1Z and eight UH-1Y military helicopters represents the first foreign military sale of a mixed H-1 fleet. Bell anticipates the delivery of the first H-1 aircraft to the Czech Republic will begin in 2023 and complete delivery by 2024.

American Airlines Announces New Investments at DFW Airport

  • Investments as airline expands global network from DFW, improves customer experience

FORT WORTH, Texas — American Airlines has announced plans to build a new, larger catering kitchen at Dallas Fort Worth International Airport (DFW). The new facility is part of American’s long-term growth strategy at its largest hub, and will allow the airline to better serve customers as it grows. 

The investment reaffirms American’s commitment to grow and improve customer experience at DFW. In addition to the new kitchen, construction is also slated to begin ona a state-of-the-art aircraft parts distribution facility, which will help reduce maintenance delays by providing parts from DFW to American’s global network. 

This year alone, American has expanded at DFW by adding 15 more gates and increasing the amount of flying to 900 daily departures. Additionally, the airline introduced a Flagship Lounge to serve premium customers travelling to international destinations. The growth is part of a larger strategy that will continue as American continues to invest in the operational efficiency and customer experience initiatives at DFW.

“DFW remains a great source of opportunity and growth for American,” said Cedric Rockamore, American’s Vice President of DFW of Hub Operations. “These investments will ensure we can continue to welcome the world to and through DFW for a very long time.” 

Catering kitchen

American will build a new catering kitchen to support DFW’s current and future catering demands. The new facility will replace the existing catering kitchen, which was built in 1982 and is too small to support the airport’s growing operation. Construction on the new kitchen will begin in January 2020.

“In addition to more space, the new kitchen will provide updated equipment and efficiencies to improve our catering operation, which improves our reliability and provides a better experience for our customers,” Rockamore said.

The $100 million construction project will take about 18 months to complete and supports the first phase of development for DFW’s new Terminal F. This phase includes four new gates and customer areas located on the southeast corner of Terminal D and is scheduled to open in 2022. 

The kitchen will continue to be staffed and operated by LSG Sky Chefs, the airport’s largest catering vendor. 

Central Fulfillment Center and cargo mail facility

American plans to break ground in January 2020 on a new Central Fulfillment Center that will house aircraft parts for line maintenance support across our network. The 390,000-square-foot facility will enable the airline to fulfill request for parts up to 75% faster, minimizing potential maintenance delays. Locating this facility at DFW enhances our ability to distribute parts for overnight maintenance throughout the network. 

This project will also include a facility for cargo mail, a key revenue stream and narrowbody product for American Airlines Cargo. The expanded space will allow the Cargo team to optimize fleet, network and market demands for transporting mail. 

Terminal expansion

To support the demand for additional growth, DFW continues to develop new and optimize existing terminal spaces. These efforts include two new gates and customer areas at Terminal E, which American will utilize to support summer 2020 flying, and the continued development of Terminal F. 

With the first phase of development for Terminal F underway, details of the additional phases will be developed as American and DFW continue to study infrastructure demands and customer needs.

American Airlines Announces 20 New Routes for Summer 2020

FORT WORTH, Texas — American Airlines customers will have a lot to be thankful for as the airline plans to launch an additional eight new domestic routes this summer, offering customers a total of 20 new seasonal routes in summer 2020. The new routes include service to Martha’s Vineyard (MVY) and Nantucket (ACK) in Massachusetts and new service from Jackson, Mississippi (JAN) and Des Moines, Iowa (DSM), to Miami (MIA), the airline’s gateway to Latin America and the Caribbean. 

“Every year, we evaluate our network and look to create more routes and serve unique destinations whether we’re entering new markets like Casablanca or adding more service to places like Traverse City, Michigan,” said Vasu Raja, American’s Senior Vice President of Network Strategy. “We continue to deliver the best network with the most options for our customers domestically and internationally during the most popular vacation time of the year.” 

Domestic additions

Beginning in June, American will add two new ways to get to the lighthouses and sandy beaches of Martha’s Vineyard from two connecting hubs on the East Coast — Philadelphia (PHL) and Charlotte (CLT). The airline will also introduce a new route to the cobblestone streets of Nantucket with Saturday service from PHL. All three flights will be operated on an Embraer 175, featuring 12 First Class seats and 64 Main Cabin seats. Next summer, Traverse City (TVC) will see direct service from PHL and Ronald Reagan Washington National Airport (DCA), giving customers access to the shores of Lake Michigan’s Grand Traverse Bay every Saturday. The airline will also introduce new Saturday service from Dallas-Fort Worth (DFW) to Portland, Maine (PWM) operated on an Airbus A319 aircraft.

MIA is American’s gateway to Latin America and the Caribbean, and, next summer, customers flying from JAN and DSM will have nonstop service to MIA on Saturday and Sunday from June through August. Flight times will complement one-stop connections to vacation favorites like Bonaire, St. Vincent, and Montego Bay, Jamaica.

American previously announced seasonal service to National Parks in Kalispell (FCA) and Bozeman (BZN), Montana, and increased service to Alaska, including a new destination, Fairbanks (FAI), which will begin operating in May.

A summer overseas

In August, American announced an international expansion that includes entering Africa for the first time with service to Casablanca, Morocco (CMN), from PHL and seasonal service from Chicago (ORD) to Krakow, Poland (KRK); Prague, Czech Republic (PRG); and Budapest, Hungary (BUD). American will be the only US carrier providing service to KRK, BUD and PRG from ORD.

“Our future is bright, and we see summer 2020 as an opportunity for growth in the leisure destinations our customers truly value,” Raja continued. “We have 20 new seasonal routes to choose from — narrowing down where to go will be the hardest part.”

New flights will be available for purchase Nov. 25.

Boeing to Give Southwest Board 737 MAX Update This Week

CHICAGO (Reuters) – Boeing Co <BA> this week will present to the board of its largest 737 MAX customer, Southwest Airlines Co <LUV>, an overview of its plans to return the grounded jet to service, a spokesman for the airline said on Monday.

The meeting on Wednesday and Thursday comes after Southwest Chief Executive Gary Kelly said last month that the airline could look next year at diversifying its fleet beyond Boeing 737 aircraft. Budget-friendly Southwest has structured its business model around flying only 737 aircraft for the past 50 years and bet its entire growth strategy on the 737 MAX, the latest iteration of Boeing’s narrowbody workhorse.

With the MAX parked since mid-March following crashes on Lion Air and Ethiopian Airlines that together killed 346 people, Southwest has had to scale back its growth plans and cancel north of 100 daily flights, wiping $435 million from its earnings between January and September.

Kelly, who is also Southwest’s chairman of the board, invited Boeing to address the timing and logistics of dozens of 737 MAX deliveries that it was supposed to receive this year. The meeting will also give Boeing a chance to defend its product and the steps it is taking to restore public confidence after the two fatal crashes, sources said.

“It’s an overview of the Return to Service Plan, timing, and plans moving forward,” Southwest spokesman Chris Mainz said. “Just a good chance for our Board to hear directly from Boeing, but nothing more to it than that.”

It is not the first time that Boeing has presented to a regularly scheduled board meeting, he said.

Southwest had 34 MAX jets in its fleet when global regulators grounded the aircraft in March. The airline was supposed to receive 41 more 737 MAX planes before the end of the year, but most of those deliveries are now scheduled for 2020.

Hundreds of undelivered 737 MAX jets are parked at Boeing facilities in Washington state, where the planemaker is facing a delivery logjam once the U.S. Federal Aviation Administration gives approval for them to fly commercially.

While Boeing is targeting approval in December, the FAA has pushed back on any fixed timeline.

Southwest has removed the 737 MAX from its flying schedule until early March. The airline has said it will need one to two months to train its pilots and prepare the jets for flight once regulators approve new software and pilot training.

Air Arabia Orders 120 Airbus A320neo Family Aircraft, including XLR

Air Arabia, the Middle East and North Africa’s first and largest low cost carrier, has signed a firm order for 120 Airbus aircraft comprising 73 A320neo’s, 27 A321neo’s and 20 A321XLR’s. The agreement was signed at the 2019 Dubai Airshow in the presence of Air Arabia’s Chairman Sheikh Abdullah Bin Mohammed Al Thani, Adel Al Ali, Chief Executive Officer Air Arabia and Guillaume Faury, Airbus Chief Executive Officer.

Adel Al Ali, Group Chief Executive Officer of Air Arabia, said: “Air Arabia’s fleet growth strategy has always been driven by commercial demand and we are glad to announce today one of the region’s largest single-aisle orders with Airbus to support our growth plans. This new milestone underpins not only our solid financial fundamentals but also the strength of our multi-hub growth strategy that we have adopted over the years while remaining focused on efficiency, performance and passenger experience.” He added: “The addition of the A320neo, A321neo and A321XLR complements our existing fleet and allows us to expand our service to farther and newer destinations while remaining loyal to our low-cost business model. Emirates Airlines Orders 50 A350XWB at Dubai Airshow 2019

Airbus and Emirates Airline have signed a purchase agreement for 50 A350-900s – Airbus’ newest generation widebody aircraft.

The order was signed at Dubai Airshow 2019 by His Highness Sheikh Ahmed bin Saeed Al Maktoum and Guillaume Faury, Airbus Chief Executive Officer.

HH Sheikh Ahmed said: “Today, we are pleased to sign a firm order for 50 A350 XWB’s, powered by Rolls-Royce Trent XWB engines. This follows a thorough review of various aircraft options and of our own fleet plans. It is Emirates’ long-standing strategy to invest in modern and efficient aircraft, and we are confident in the performance of the A350 XWB.

“Complementing our A380’s and 777’s, the A350’s will give us added operational flexibility in terms of capacity, range and deployment. In effect, we are strengthening our business model to provide efficient and comfortable air transport services to, and through, our Dubai hub.”

Hyatt Reports Third-Quarter 2019 Results

Strong Net Rooms Growth Fuels Nearly 11% Increase in Management and Franchise Fees

CHICAGO (October 30, 2019) – Hyatt Hotels Corporation (“Hyatt” or the “Company”) (NYSE: H) today reported third-quarter 2019 financial results. Net income attributable to Hyatt was $296 million, or $2.80 per diluted share, in the third quarter of 2019, compared to $237 million, or $2.09 per diluted share, in the third quarter of 2018. Adjusted net income attributable to Hyatt was $39 million, or $0.37 per diluted share, in the third quarter of 2019, compared to $37 million, or $0.33 per diluted share, in the third quarter of 2018. Refer to the table on page 14 of the schedules for a summary of special items impacting Adjusted net income and Adjusted earnings per share in the three months ended September 30, 2019.

Mark S. Hoplamazian, president and chief executive officer of Hyatt Hotels Corporation, said, “The strength of our brands and the consistent approach we have to operating with excellence and efficiency are serving us very well in this period of volatile economic conditions. In particular, our management and franchise fee growth of nearly 11% this quarter is driven by roughly 13% year-over-year net rooms growth. Further, we have successfully increased productivity and operating efficiency for 23 straight quarters which has allowed us to maintain strong hotel operating margins even in the face of flat RevPAR growth this quarter.”

Third quarter of 2019 financial highlights as compared to the third quarter of 2018 are as follows:

  • Net income increased 25.4% to $296 million.
  • Adjusted EBITDA decreased 7.3% to $163 million, a decrease of 6.5% in constant currency.
  • Comparable system-wide RevPAR was flat, including a decrease of 0.1% at comparable owned and leased hotels. Comparable system-wide RevPAR growth was favorably impacted by approximately 50 basis points from the timing of the Jewish holidays, but was offset by a similar reduction resulting from political unrest in Hong Kong.
  • Comparable U.S. hotel RevPAR decreased 0.6%; full service hotel RevPAR increased 0.2% and select service hotel RevPAR decreased 2.3%.
  • Net rooms growth was 13.2%, or 7.9% excluding the acquisition of Two Roads Hospitality LLC (“Two Roads”) in the fourth quarter of 2018.
  • Comparable owned and leased hotels operating margin decreased 20 basis points to 21.0%.
  • Adjusted EBITDA margin of 26.9% decreased 280 basis points in constant currency.Mr. Hoplamazian continued, “We continue to execute on our capital strategy and shift our earnings profile while maintaining our focus on global growth. We expect to end the year with approximately 57% of our earnings coming from our hotel management and franchise business, an increase of roughly 400 basis points from 2018. Third quarter of 2019 financial results as compared to the third quarter of 2018 are as follows:

Management, Franchise and Other Fees

Total management, franchise and other fees increased 11.9% (12.5% increase in constant currency) to $148 million. Base management fees increased 17.8% to $64 million, primarily in the Americas management and franchising segment due to the acquisition of Two Roads. Incentive management fees decreased 1.3% to $33 million. Franchise fees increased 11.8% to $37 million. Other fees increased 22.0% to $14 million. Excluding other fees, management and franchise fees increased 10.9% (11.6% increase in constant currency) to $134 million.

Americas Management and Franchising Segment

Americas management and franchising segment Adjusted EBITDA increased 11.2% (11.4% increase in constant currency), driven by higher management, franchise, and other fees from the Two Roads acquisition and recently opened hotels. RevPAR for comparable Americas full service hotels increased 1.5%, occupancy increased 70 basis points, and ADR increased 0.7%. RevPAR growth was driven by strength in certain resort locations outside of the United States and benefited from the timing of the Jewish holidays which had an approximate 110 basis point favorable impact. RevPAR for comparable Americas select service hotels decreased 2.4%, occupancy decreased 40 basis points, and ADR decreased 1.8%. Total Americas management and franchising adjusted revenues increased 29.6% (29.9% increase in constant currency) including revenue from the residential management operations acquired as part of Two Roads.

Transient rooms revenue at comparable U.S. full service hotels increased 1.0%, room nights increased 2.3%, and ADR decreased 1.3%. Group rooms revenue at comparable U.S. full service hotels decreased 0.2%, room nights decreased 2.3%, and ADR increased 2.2%.

Americas net rooms increased 11.5% compared to the third quarter of 2018, or 5.2% excluding Two Roads.

Southeast Asia, Greater China, Australia, South Korea, Japan and Micronesia (ASPAC) Management and Franchising Segment

ASPAC management and franchising segment Adjusted EBITDA increased 0.9% (2.5% increase in constant currency). RevPAR for comparable ASPAC full service hotels decreased 2.0%, reflecting weakness in Hong Kong. Excluding Hong Kong, RevPAR for comparable ASPAC full service hotels would have increased 0.8%. Occupancy decreased 50 basis points and ADR decreased 1.3% for ASPAC full service hotels. Revenue from management, franchise, and other fees increased 4.2% (5.4% increase in constant currency).

ASPAC net rooms increased 17.7% compared to the third quarter of 2018, or 13.7% excluding Two Roads.

Europe, Africa, Middle East and Southwest Asia (EAME/SW Asia) Management and Franchising Segment

EAME/SW Asia management and franchising segment Adjusted EBITDA increased 4.8% (7.8% increase in constant currency). RevPAR for comparable EAME/SW Asia full service hotels increased 1.6%, driven by strong growth in certain European markets, including France and the United Kingdom, and Southwest Asia, offset partially by weaker performance in Russia which lapped the FIFA World Cup in 2018.

Occupancy increased 290 basis points and ADR decreased 2.6% for EAME/SWA full service hotels. Revenue from management, franchise, and other fees increased 2.2% (4.3% increase in constant currency).

EAME/SW Asia net rooms increased 15.6% compared to the third quarter of 2018, or 14.4% excluding Two Roads.

Owned and Leased Hotels Segment

Total owned and leased hotels segment Adjusted EBITDA decreased 17.6% (16.9% decrease in constant currency), including a decrease of 12.0% (11.4% decrease in constant currency) in pro rata share of unconsolidated hospitality ventures Adjusted EBITDA. Refer to the table on page 11 of the schedules for a detailed list of portfolio changes and the year-over-year net impact to total owned and leased hotels segment Adjusted EBITDA.

Owned and leased hotels segment revenues decreased 3.9% (3.0% decrease in constant currency), and was negatively impacted by non-comparable hotels. RevPAR for comparable owned and leased hotels decreased 0.1%. Occupancy and ADR were both flat.

Corporate and Other

Corporate and other Adjusted EBITDA decreased 22.4% (22.5% decrease in constant currency), inclusive of $6 million of expenses from the Two Roads acquisition.

Corporate and other adjusted revenues increased 19.1% (consistent in constant currency).

Selling, General, and Administrative Expenses

Selling, general, and administrative expenses increased 1.0%, inclusive of rabbi trust impact and stock- based compensation. Adjusted selling, general, and administrative expenses increased 13.8%, or $10 million, including $8 million of integration costs related to the acquisition of Two Roads. Refer to the table on page 17 of the schedules for a reconciliation of selling, general, and administrative expenses to Adjusted selling, general, and administrative expenses.

OPENINGS AND FUTURE EXPANSION

Twenty hotels (or 4,422 rooms) opened in the third quarter of 2019, contributing to a 13.2% increase in net rooms compared to the third quarter of 2018. Excluding the impact of the Two Roads acquisition, net rooms increased 7.9% compared to the third quarter of 2018.

As of September 30, 2019, the Company had executed management or franchise contracts for approximately 460 hotels, or approximately 92,000 rooms. The Company is expected to open approximately 85 hotels in the 2019 fiscal year.

SHARE REPURCHASE/DIVIDEND

During the third quarter of 2019, the Company repurchased a total of 1,776,891 (1,099,507 Class A shares and 677,384 Class B shares) for approximately $133 million. The Company ended the third quarter with 36,811,374 Class A and 66,438,444 Class B shares issued and outstanding. From October 1 through October 25, 2019, the Company repurchased 523,499 shares of Class A common stock for an aggregate purchase price of approximately $37 million. As of October 25, 2019, the Company had approximately $351 million remaining under its share repurchase authorization.

The Company’s board of directors has declared a cash dividend of $0.19 per share for the fourth quarter of 2019. The dividend is payable on December 9, 2019 to Class A and Class B stockholders of record as of November 26, 2019.

CAPITAL STRATEGY UPDATE

In a Form 8-K filed on September 16, 2019, the Company announced the sale of the 1,260-room Hyatt Regency Atlanta for approximately $355 million to an unrelated third party and the entry into a long-term management agreement for the property upon sale.

The Company is in the process of pursuing the sale of one of its wholly-owned hotels and will provide further details as appropriate.

BALANCE SHEET / OTHER ITEMS
As of September 30, 2019, the Company reported the following:

  • Total debt of $1,623 million.
  • Pro rata share of unconsolidated hospitality venture debt of approximately $564 million, substantially all of which is non-recourse to Hyatt and a portion of which Hyatt guarantees pursuant to separate agreements.
  • Cash and cash equivalents, including investments in highly-rated money market funds and similar investments, of $660 million, restricted cash of $140 million, and short-term investments of $63 million.
  • Undrawn borrowing availability of $1.5 billion under Hyatt’s revolving credit facility.2019 OUTLOOK
    The Company is revising the following expectations for the 2019 fiscal year:
  • Comparable system-wide RevPAR is expected to increase approximately 0.5%, as compared to fiscal year 2018.
  • Net income is expected to be approximately $431 million to $470 million. Please refer to the table on page 13 of the schedules for revised ranges impacting net income.
  • Other income (loss), net is expected to be approximately $98 million to $103 million, reflecting increased interest income and unrealized gains on marketable securities. The estimated $40 million negative impact related to performance guarantee expense for the four managed hotels in France is unchanged.
  • Adjusted EBITDA is expected to be approximately $730 million to $745 million, primarily reflecting a one point reduction in expected comparable system-wide RevPAR and the sale ofNote: All RevPAR and ADR percentage changes are in constant dollars.   • Depreciation and amortization expense is expected to be approximately $329 million to $334 million.
  • Interest expense is expected to be approximately $77 million.
  • Adjusted selling, general, and administrative expenses are expected to be approximately $335 million. This is inclusive of approximately $25 million of expenses related to non-recurring integration costs for Two Roads. Adjusted selling, general, and administrative expenses exclude approximately $33 million of stock-based compensation expense and any potential impact related to benefit programs funded through rabbi trusts.The Company is reaffirming the following information for the 2019 fiscal year:
  • The Company expects to grow units, on a net rooms basis, by approximately 7.25% to 7.75%, reflecting approximately 85 new hotel openings.
  • Capital expenditures are expected to be approximately $375 million.
  • As previously reported in an 8-K filed on September 16, 2019, the Company expects to return approximately $500 million to shareholders through a combination of cash dividends on its common stock and share repurchases.
  • The effective tax rate is expected to be approximately 25% to 27%.
