Delta Completes Tender Offer to Purchase Shares in LATAM

  • Delta Air Lines has successfully acquired a 20 percent equity stake in LATAM Airlines Group S.A for approximately $1.9 billion.

Delta Air Lines has successfully completed its previously announced tender offer and has acquired a 20 percent equity stake in LATAM Airlines Group S.A for approximately $1.9 billion, an important milestone toward bringing together the leading airlines in North and South America. This investment continues Delta’s strategy of making equity investments in key airline partners around the globe.

In September, Delta and LATAM announced a strategic partnership, including the now completed 20 percent equity investment and also a commercial joint venture. Once fully implemented, this partnership will unlock growth opportunities for both airlines and offer significantly expanded travel options for customers, with access to 435 destinations worldwide.

Most recently, the carriers announced that they will initially launch codesharing for flights operated by certain LATAM affiliates in Colombia, Ecuador and Peru beginning in the first quarter of 2020. The codeshare will offer customers increased connectivity between up to 74 onward destinations in the United States and up to 51 onward destinations in South America.

The enhanced cooperation and codeshare agreements are subject to governmental and regulatory approvals.

Bain Capital To Invest In Atlas Air’s Aircraft Leasing Unit

Investment firm Bain Capital Credit will invest an initial $360 million in a joint venture with Atlas Air Worldwide Holdings (NASDAQ: AAWW), a major provider of outsourced all-cargo aircraft operations and other aviation services, to lease freighter aircraft, the companies said Wednesday.

Under the agreement, Atlas’ leasing subsidiary Titan Aviation Holdings Inc. will contribute $40 million of equity towards the portfolio, which ultimately could have a value of $1 billion with additional commitments to acquire aircraft over the next several years. The number and type of planes to be acquired are still to be determined. Titan will identify and source aircraft, as well as provide lease-management services to the venture.  

The new company will be called Titan Aircraft Investment, Dan Loh, Atlas’ vice president of investor relations, told FreightWaves. “The parties are working expeditiously to complete and implement all elements of the joint venture,” he said.

Since its inception in 2009, Titan has grown to become the third-largest freighter lessor globally by fleet value with over 30 aircraft and a book value of over $1.5 billion.

Titan provides aircraft to airlines, which put them under their own operating certificate and then fly, maintain and insure them. Contracts are usually long term.

JetBlue Founder David Neeleman Selects Salt Lake City as Headquarters for New Airline

America’s newest and perhaps most innovative airline does not yet have a name, or any airplanes. But it now has a headquarters.

David Neeleman’s startup will be based in Salt Lake City, where it plans to spend a capital investment of $3.2 million and create nearly 400 jobs over the next five years, according to local authorities. In return, the state offered tax rebates worth as much as about $1.1 million over five years.

“There’s a super strong technology base, and lower cost of living than California and some of the coastal areas,” Lukas Johnson, the airline’s chief commericial said in an interview. “We want to focus more on the technology aspect of the transportation side, and it makes a lot of sense. The tech sector is booming out here.”

GM Loans $40 Million to Firm to Acquire, Retool Shuttered Lordstown, Ohio, Factory

WASHINGTON (Reuters) – General Motors Co <GM> confirmed on Monday it agreed to loan $40 million to an electric vehicle start-up to facilitate the acquisition of its shuttered Lordstown Assembly plant in Ohio.

Lordstown Motors Corp, which is 10% owned by Workhorse Group Inc <WKHS>, bought the plant and equipment for $20 million in November as part of its ambitious plan to begin building electric pickup trucks by the end of 2020.

The loan agreement, which was reported earlier Monday by the Business Journal in Youngstown, was filed in Trumbull County last week.

Lordstown Motors has been working on the engineering of the new truck, “Endurance”, and hired Rich Schmidt, a former director of manufacturing at Tesla Inc, as chief production officer.

“We structured the sales agreement to help support Lordstown Motors’ launch plans for the Endurance pickup,” GM spokesman Jim Cain said, who added it “allows them to take possession of the plant and to cover some operating expenses while they undertake their capital raise.”

GM is not investing in the venture, but Cain said GM financing could rise to $50 million.

The fate of the sprawling northeastern Ohio plant became a political lightning rod after GM announced its planned closure in November 2018, drawing condemnation from U.S. President Donald Trump and many U.S. lawmakers.

Lordstown CEO Steve Burns told Reuters last month he hopes to have pre-production prototypes coming off the assembly line by April and to start production by November 2020 with an initial workforce of 400 hourly workers.

Burns said last month the company hopes to raise more than $300 million, the Business Journal reported. Burns told Reuters it retained Ohio investment bank Brown Gibbons Lang & Co in its capital fundraising effort.

GM and South Korea’s LG Chem <051910.KS> said Thursday they will invest $2.3 billion to build an electric vehicle battery cell joint venture plant in Ohio which will be one of the world’s largest battery facilities.

The plant, to be built near the Lordstown complex, will employ more than 1,100 people, the companies said.

As part of the Lordstown sale, GM has the option to lease land near the assembly plant that it could use for the battery plant.

NATO Gives Boeing $1 Billion Deal to Upgrade AWACS Reconnaissance Planes

AWACS part of NATO investment in hi-tech surveillance

Announcement comes days before NATO summit in London

BRUSSELS, Nov 27 (Reuters) – NATO on Wednesday awarded Boeing Co a $1 billion contract to upgrade its fleet of AWACS reconnaissance planes, a deal officials said showed the strength of transatlantic cooperation days before an alliance summit in London.

First flown in 1982 and repeatedly modernised, the Boeing-made planes, which can detect hostile aircraft, missiles, ships and other weaponry far beyond NATO borders, will be overhauled with more powerful computer processors, servers and equipment.

The 14 planes, based at an air base in Germany, can already exchange information via digital data links, with ground-based, sea-based and airborne commanders, but need a greater capacity to transmit data as technology develops.

The upgrade will keep one of the few military assets owned and operated by the Western alliance in service until 2035.

AWACS have been flown in support of the international coalition against Islamic State, gazing deep into Syria from Turkey, as well as along NATO’s eastern flank following Russia’s 2014 annexation of Crimea from Ukraine.

“The modernisation will ensure that NATO remains at the leading edge of technology,” NATO Secretary-General Jens Stoltenberg told a news conference alongside Boeing President Michael Arthur, standing in front of one of the planes.

“It will provide AWACS with sophisticated new communications and networking capabilities, so these aircraft can continue their vital missions,” he said.

One NATO official described AWACS, which have crews drawn from 18 different allies, as a symbol of NATO unity, at a time when U.S. President Donald Trump has questioned its value and French President Emmanuel Macron last month said NATO was dying.

The upgrade will be funded by 16 NATO allies, including the United States, Germany, Turkey, Italy and Spain, and some work will be subcontracted to European suppliers including Leonardo and Airbus.

The modernisation comes as NATO takes delivery of the first of five Global Hawk drones, which will be based in Italy.

After years of delays, the high-altitude drones made by Northrop Grumman give the alliance its own spy drones for the first time and will work with the AWACS to protect ground troops, as well as other tasks.

The drones will be able to fly for up to 30 hours at a time in all weather, providing near real-time surveillance data.

Emirates Orders 30 Boeing 787 Dreamliner Airplanes to Complement 777X Family

DUBAI, United Arab Emirates, Nov. 20, 2019 /PRNewswire/ — Boeing [BA] and Emirates announced today they have finalized a purchase agreement for 30 787-9 Dreamliner airplanes, valued at $8.8 billion according to list prices. The agreement, signed at the Dubai Airshow, culminates discussions between the two companies on the best 787 Dreamliner model to meet the requirements of one of the world’s leading airlines.

Emirates had previously signed an initial agreement for the larger 787-10 variant. In officially selecting the 787-9 today, Emirates adds a medium-sized widebody airplane to complement the airline’s larger 777 aircraft. Both airplane families lead their respective category for superior range and fuel efficiency.

With this conversion, Emirates remains the world’s biggest 777X customer with 126 airplanes on order and the largest 777 operator with 155 airplanes today.

Delta Shuttle to Depart from Airline’s First New LGA Concourse Beginning November 16, 2019

Following the ceremonial opening of the first concourse to comprise Delta’s state-of-the-art terminal at LaGuardia Airport last month, all Delta Shuttle flights to Boston, Chicago, and Washington, D.C., will relocate to these new gates from Terminal C starting Nov. 16, 2019.

The spacious new concourse, which houses gates 92 through 98, features floor-to-ceiling views of Citi Field and Flushing Bay and dining options from favorite New York chefs and eateries.

Air Lease Corporation Initiates Portfolio Sale of 19 Aircraft to Thunderbolt III Aircraft Lease Limited

LOS ANGELES, November 11, 2019 – Air Lease Corporation (the “Company” or “ALC”) announced today that the Company initiated the sale of a portfolio of 19 aircraft to Thunderbolt III Aircraft Lease Limited (“Thunderbolt III”), a newly formed entity, and Thunderbolt III has now completed its equity and debt financing transactions.  The aircraft comprise a mix of narrowbody and widebody jet aircraft that, as of August 31, 2019, had a weighted average age of 9.7 years and were leased to 18 lessees based in 15 countries.  ALC and its Irish affiliate, ALC Aircraft Limited, will act as servicers with respect to the aircraft and ALC will act as portfolio manager.  ALC estimates that the process of transfer and sale of the majority of aircraft will occur progressively during Q4 2019 and Q1 2020.

The Thunderbolt III structure included two series of Fixed Rate Notes and Equity Certificates. Approximately 15.6865% of the Equity Certificates were purchased by the anchor investor which is an investment vehicle managed by ITE Management L.P. and approximately 5% of the Equity Certificates were purchased by ALC.

Proceeds from the issuance of the Notes and the Equity Certificates will be used to acquire the aircraft, fund certain accounts for the Notes and pay certain expenses.

Alstom Begins Delivery of New Regional Trains to Veneto and Liguria in Italy

Alstom has delivered the first Coradia Stream “Pop” trains destined for operation in Italian regions of Veneto and Liguria. The trains are part of the framework agreement signed in 2016 between Alstom and Trenitalia for a total of 150 new medium-capacity regional trains. Veneto will receive a total of 31 trains, Liguria 15. Deliveries will continue at a rapid pace into 2020.

14 Coradia Stream trains are already in passenger service in Emilia Romagna, the first region to have placed a firm order under the 2016 agreement. 

The new trains are part of a wider relaunch plan initiated by Trenitalia (FS Italian Group) to develop regional transport. This plan foresees a total investment of around €6 billion for 600 new trains, lead to the renewal of 80% of the fleet within 5 years. Due to the number of trains and its value, it is an unprecedented project for Italy.

The Coradia Stream, dubbed “Pop” by the Italian customer, is a single-deck electric multiple unit (EMU) designed for regional lines. It represents the latest generation of the Coradia family of trains. It can transport 300 passengers seated, has a top speed of 160 km/h, and offers easy accessibility thanks to its low floor. Designed to be eco-friendly, Coradia Stream consumes 30% less energy than previous train generation. 

“Over the past 15 years, more than 412 regional trains have been designed, produced and put into commercial service by Alstom in Italy. To these figures, we will gradually grow the Pop fleet. The Coradia Stream trains are manufactured by Alstom in Italy. Project development, most of the manufacturing and certification are performed at Alstom’s site in Savigliano (CN). Design and manufacturing of the traction systems and other components takes place at the Sesto San Giovanni (MI), and the on-board signalling systems are delivered by the Bologna site.
