Amtrak Names William Flynn as CEO and President

WASHINGTON – Amtrak announced that it has named William J. Flynn as its next Chief Executive Officer and President. Flynn, a seasoned business leader with four decades of transportation and logistics experience, will begin his role on April 15, 2020. Flynn succeeds Richard Anderson, who joined Amtrak as CEO in July 2017. Anderson, who fulfills his three-year commitment to the company this year, will remain with Amtrak through the end of the year as a senior advisor to Flynn. 

Flynn, 66, has been a successful leader across multiple modes of transportation, including rail, maritime and aviation. Most recently, he served 13 years with Atlas Air Worldwide Holdings, Inc., which serves the global air freight, military charter and passenger charter markets, as President and CEO and Board Chairman. He also held senior roles with CSX Transportation, Sea-Land Services, Inc., and GeoLogistics Corp.

Pioneer Railcorp Shareholders Approve Merger with BRX

PEORIA, Ill., July 19, 2019 /PRNewswire/ — Pioneer Railcorp (OTC: PRRR, “Pioneer”), a railroad holding company that owns short-line railroads and several other railroad-related businesses including a railroad equipment company and a contract switching services company, today announced that its shareholders have approved the previously announced definitive merger agreement with BRX Transportation Holdings, LLC (“BRX”), an entity formed by Brookhaven Rail Partners (“Brookhaven”), Related Infrastructure (“Related”) and Stephens Capital Partners LLC (“Stephens”). The proposal to approve the merger agreement and the transactions contemplated thereby was approved with voting results as follows:

Under the terms of the merger agreement, BRX will acquire through merger all of the outstanding shares of Pioneer’s Class A common stock. Shareholders other than Heartland will receive $18.81 per share in cash and the Heartland shares will be cancelled without consideration.

Consummation of the merger remains subject to various closing conditions, including operating performance by Pioneer within a specified working capital floor and debt ceiling.  Subject to satisfaction of the closing conditions, the transaction is expected to close in late July 2019. Upon closing of the transaction, Pioneer will become a wholly-owned subsidiary of BRX and its Class A common stock will cease trading on the OTC Markets.

Arnold & Porter is acting as legal advisor to BRX in this transaction.  BMO Capital Markets is serving as exclusive financial advisor to Pioneer in connection with this transaction and Briggs and Morgan, P.A. is acting as Pioneer’s legal advisor.

Geir Karlsen Appointed Interim CEO of Norwegian Air

OSLO (JULY 11, 2019) – After 17 years as the CEO of Norwegian Air Shuttle, Bjørn Kjos will leave the position and continue in a new role as an advisor to the Chairman, with effect from July 11th. Until Norwegian appoints a new CEO, CFO Geir Karlsen will act as interim CEO, while Chairman Niels Smedegaard will take on a more active role in the management.

Niels Smedegaard
Niels Smedegaard (born 1962) was the President and CEO of DFDS from 2007 to 2019. He has previously held leading positions in companies such as Gate Gourmet Group, Swissair and SAS. Smedegaard is a Danish citizen and holds a Master’s and Bachelor’s degree from Copenhagen Business School. He also holds a number of board appointments at various European companies. Niels Smedegaard has been elected Chairman of the Board of Norwegian for the period 2019 to 2021.

Bjørn Kjos
Bjørn Kjos (born 1946) has been the Chief Executive Officer (CEO) of Norwegian since October 2002. He is one of the founding partners of Norwegian Air Shuttle and was the Chairman of the Board from 1993 to 1996. Kjos was also Chairman during the start-up of the Boeing 737 operation from June to September 2002. Kjos was a fighter pilot in the 334 squadron for six years and is a law graduate from the University of Oslo. He was granted the right of audience in the Supreme Court in 1993.

Geir Karlsen
Geir Karlsen (born 1965) was appointed Chief Financial Officer (CFO) in April 2018 and deputy CEO in April 2019. He has extensive experience from listed companies within shipping and offshore. Geir Karlsen has over the last 12 years held various CFO positions with international companies such as Golden Ocean Group and Songa Offshore. Before joining Norwegian, he was Group CFO at London-based Navig8 Group, the world’s largest independent pool and management company. Karlsen has a degree in Business Administration from BI Norwegian Business School.

Immediately following the presentation of the results for the second quarter, Norwegian will arrange a press briefing with Niels Smedegaard, Bjørn Kjos and Geir Karlsen about the top management changes. Embraer Announces CEO Succession

Paulo Cesar de Souza e Silva concludes his tenure at the end of April and will support the transition process of the company as Senior Advisor of the Board of Directors.

São Paulo, Brazil, March 18, 2019 – Embraer, following shareholder approval of the transaction with Boeing, announces that the current President and CEO of the company, Paulo Cesar de Souza e Silva, concludes a successful professional cycle with the company on April 22, 2019 which is the end of his current two year elected term.

“Paulo Cesar idealized the partnership with Boeing and led the negotiation process of the transaction that will bring Embraer and Brazil to a much more competitive and prominent level in the global aviation industry,” said Alexandre Silva, Chairman of the Board.

For 22 years at Embraer, Paulo Cesar came from the financial market to structure the company’s sales financing area. For six years he was President and CEO of Commercial Aviation and in 2013 launched the E2 Program, the medium-sized commercial jets considered today to be the most efficient in the market.

In 2016, Paulo Cesar became President and CEO of the Embraer Group, with a mission to make the company more efficient, competitive and better prepared to face structural changes in the global aviation market.

His administration established three key initiatives focused on value creation and the sustainability of the company. The first was the transaction with Boeing. The second was the creation of the Passion for Excellence program, a structural transformation project focused on reducing costs and increasing operational efficiency, generating significant annual recurring savings. The third was the creation of EmbraerX, responsible for disruptive innovation and the development of opportunities for the future, such as eVTOL (electric vertical take-off and landing vehicle), a project that will revolutionize urban transport in partnership with Uber.

Paulo Cesar was invited to be a Senior Advisor to the Board, with the task of facilitating the integration of the future President and CEO and advising the Board on the monitoring of assets and resources segregation, an integral part of the process of concluding the partnership with Boeing. As it was reported, 96.8% of Embraer’s shareholders approved an agreement with the North American company last February, which should be concluded after obtaining all approvals of the Regulatory and Competitive Agencies in Brazil and abroad.

Embraer also informs that the future President and CEO, to be elected for the next term, will be recruited externally and announced on or before the Ordinary General Assembly on April 22nd.
