The air cargo sector is undergoing a demand slowdown due to global macroeconomic conditions. Post-Covid normalisation as well as global geopolitical crises, most notably in the form of military conflicts, have been the root cause.

Looking ahead, there is little confidence that this situation will improve drastically in the near term. This is partly due to rising interest rates and the termination of key government support programmes.

With customer demands getting more nuanced, a high level of flexibility seems to be the need of the hour. Air freight operators need to be nimble and provide solutions that lower operating costs and save time.

Air Transport Services Group prices $350 million convertible senior notes offering

WILMINGTON, Ohio (BUSINESS WIRE) – Air Transport Services Group, Inc. (NASDAQ: ATSG) today announced the pricing of its offering of $350,000,000 aggregate principal amount of 3.875% convertible senior notes due 2029 (the “notes”) in a private offering to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”). The issuance and sale of the notes are scheduled to settle on August 14, 2023, subject to customary closing conditions. ATSG also granted the initial purchasers of the notes a 30-day option to purchase up to an additional $50,000,000 principal amount of notes.

The notes will be senior, unsecured obligations of ATSG and will accrue interest at a rate of 3.875% per annum, payable semi-annually in arrears on February 15 and August 15 of each year, beginning on February 15, 2024. The notes will mature on August 15, 2029, unless earlier repurchased, redeemed or converted. Before February 15, 2029, noteholders will have the right to convert their notes only upon the occurrence of certain events. From and after February 15, 2029, noteholders may convert their notes at any time at their election until the close of business on the second scheduled trading day immediately before the maturity date. ATSG will settle conversions in cash and, if applicable, shares of its common stock. The initial conversion rate is 31.2864 shares of common stock per $1,000 principal amount of notes, which represents an initial conversion price of approximately $31.96 per share of common stock. The initial conversion price represents a premium of approximately 42.5% over the last reported sale price of $22.43 per share of ATSG’s common stock on August 9, 2023. The conversion rate and conversion price will be subject to adjustment upon the occurrence of certain events.

The notes will be redeemable, in whole or in part (subject to certain limitations), for cash at ATSG’s option at any time, and from time to time, on or after August 15, 2026 and on or before the 50th scheduled trading day immediately before the maturity date, but only if the last reported sale price per share of ATSG’s common stock exceeds 130% of the conversion price for a specified period of time. The redemption price will be equal to the principal amount of the notes to be redeemed, plus accrued and unpaid interest, if any, to, but excluding, the redemption date.

Finnair redeems its hybrid bond issued in 2020

Finnair Plc (OTC: FNNNF) announces that it will exercise its right to redeem its EUR 200 million capital securities issued on 3 September 2020 (ISIN: FI4000441860) (the “Capital Securities“).

The Capital Securities will be redeemed in full on 1 September 2023 (the “Redemption Date“) in accordance with the terms and conditions of the Capital Securities. On the Redemption Date, the Company will pay to the holders of Capital Securities a redemption price equal to the principal amount of the note together with any accrued interest to, but excluding, the Redemption Date.

This notice of redemption is irrevocable and is given to the calculation agent and holders of the Capital Securities in accordance with the terms and conditions of the Capital Securities.

Lufthansa Group Successfully Secures Further Liquidity on the Capital Market

Deutsche Lufthansa AG (OTC: DLAKY) has again successfully issued a bond with a total volume of 1.5 billion euros. The bond, with a denomination of 100,000 euros, was placed in two tranches with terms of two and five-and-a-half years respectively. The tranche with a term until 16 November 2023 has a volume of 600 million euros and bears interest of 1.625 percent per year. The tranche with a term until 16 May 2027 has a volume of 900 million euros and bears interest of 2.875 percent. The two tranches over two and five-and-a-half years fit perfectly into the Group’s maturity profile.

Remco Steenbergen, Chief Financial Officer of Deutsche Lufthansa AG, stated: “The long-term funds, which were again raised at attractive terms, will be used to further strengthen the Lufthansa Group’s liquidity and refinance existing debt. Rolls-Royce Agrees to Sell AirTanker Stake to Equitix Investment Management Limited

Rolls-Royce (OTC: RYCEY) announces the agreed sale of its 23.1% shareholding in AirTanker Holdings Limited to Equitix Investment Management Limited for cash proceeds of £189m, including the repayment of shareholder loans and accrued and deferred interest of approximately £47m, subject to any routine closing adjustments and before transaction costs. The transaction is expected to complete by the end of the first quarter of 2022, subject to regulatory approvals. There is no merger control condition. Proceeds will be used to reduce net debt. Remaining AirTanker shareholders have pre-emption rights over the Rolls-Royce shares and loan notes. 

AirTanker Holdings Limited, a joint venture with Airbus, Babcock, and Thales, owns 14 A330-200 Voyager aircraft which are powered by Trent 772B engines, a derivative of the Trent 700 engine. The Voyager aircraft support air-to-air refuelling, air transport and ancillary services for the UK Ministry of Defence. This fleet is operated by AirTanker Services Limited, in which we will continue to be a 23.5% shareholder. We will also continue to provide servicing and maintenance for the fleet of Rolls-Royce engines that power the Voyager aircraft to support the Royal Air Force.

Amtrak Seeking Contractors for New Carrollton Station Project

WASHINGTON – Amtrak is transforming Northeast Corridor train travel by enhancing the customer experience, both in stations and on board trains. As part of this effort, Amtrak is currently accepting Letters of Interest from interested contractors until Feb. 15, 2021, for construction associated work at New Carrollton Station in Maryland. The project involves work within the existing station and the construction of a side platform, and will be closely coordinated with Amtrak for minimal impacts to service.

This infrastructure work is underway in preparation for the introduction of the new Acela fleet scheduled to begin entering service in 2021. The project is necessary to support higher frequency Acela service by expanding the routing options available for high-speed trains in the busy triple-track territory between Washington, D.C. and Baltimore, which is also heavily utilized by commuter trains.

Constructed in 1983 as an intermodal facility, the New Carrollton station serves Amtrak and Maryland Area Regional Commuter (MARC) trains, Washington Metrorail, Metro buses, MTA buses and county transit, as well as many commuting drivers who connect to transit and Amtrak. The New Carrollton Station is served daily by Amtrak’s AcelaNortheast RegionalPalmetto and Vermonter trains. New Carrollton Staton is located on the Northeast Corridor (NEC), one of the busiest, most complex, and economically vital transportation systems in the world connecting eight states and the District of Columbia.

In an effort to make Amtrak the smarter way to travel, we are also upgrading our infrastructure and modernization efforts and improving track capacity and ride quality all along the Northeast Corridor. United Airlines Announces 2020 Financial Results

CHICAGO, Jan. 20, 2021 /PRNewswire/ — United Airlines (NASDAQ: UAL) today announced fourth-quarter and full-year 2020 financial results. The company continues its efforts to lead the industry as it manages the most disruptive crisis in aviation history. 

Since the beginning of the COVID-19 crisis, United has raised over $26 billion in liquidity and made important progress in reducing core cash burn (see detailed chart below) to ensure the company’s survival. EmbraerX and Airservices Australia Release Concept for Urban Air Mobility

EmbraerX, Embraer’s disruptive business subsidiary, and Airservices, Australia’s civil air navigation service provider, have developed a new concept of operations (CONOPS) for the air taxi market, also known as urban air mobility (UAM). Going forward, Eve Urban Air Mobility Solutions, the new EmbraerX spin-off, will be responsible for this partnership with Airservices and for the development of Urban Air Traffic Management solutions.

Australia is one of the countries benefitting from this innovation revolution and is attracting industry interest and investment, largely due to strong government support and a world-leading aviation safety record. This CONOPS was created to help safely introduce and accelerate the growth of the UAM market in Australia.

This CONOPS explores new and practical concepts to safely facilitate the introduction of the air taxi industry. Using the City of Melbourne, Australia as a model, the CONOPS examines how existing air traffic management solutions can initially enable UAM operations while simultaneously preparing for scale of operations through new traffic management technologies.
